1. Eligibility

2. Our Services

MedicalProspects provides verified B2B healthcare contact databases for marketing and sales outreach. Our deliverables include email addresses, phone numbers, and professional profile data for healthcare professionals and organizations. We do not provide patient records, protected health information (PHI), or any data governed by HIPAA's patient privacy provisions.

3. Permitted Use

You may use our data solely for lawful B2B marketing and sales activities, including:

• Email marketing campaigns in compliance with CAN-SPAM, GDPR, and CCPA
• Direct mail outreach to healthcare professionals and organizations
• Telemarketing and sales development with appropriate consent and opt-out handling
• Account-based marketing and CRM data enrichment

Each license covers use by a single organization for a single campaign or project unless otherwise agreed in writing.

4. Prohibited Use

You may not use our data to:

• Send unsolicited communications in violation of CAN-SPAM, GDPR, CCPA, or any applicable law
• Harass, threaten, or discriminate against any individual
• Resell, sublicense, or redistribute the data to third parties without our prior written consent
• Use the data for any illegal purpose or in any manner that violates these Terms
• Attempt to reverse-engineer, scrape, or systematically extract data beyond your licensed volume
• Use the data in connection with patient targeting, clinical outreach, or any HIPAA-regulated activity

5. Compliance Responsibility

You are solely responsible for ensuring your use of our data complies with all applicable laws — including CAN-SPAM (US), GDPR (EU/UK), CCPA/CPRA (California), and CASL (Canada). MedicalProspects provides the data; you are responsible for how you use it. We recommend consulting legal counsel before running outreach campaigns in regulated jurisdictions.

6. Deliverability Guarantee

We maintain a 95%+ deliverability target and back our data with a 1:1 hard-bounce replacement policy. If an email address hard-bounces, we will replace it at no additional cost, subject to verification of the bounce report. This guarantee applies to hard bounces only and does not cover responses, open rates, or campaign outcomes.

7. Payment and Refunds

Payment terms are specified in your order or agreement. All sales are final once data has been delivered. If there is a documented data quality issue outside our deliverability guarantee, please contact us within 14 days of delivery.

8. Intellectual Property

All website content — including text, graphics, logos, and product descriptions — is the property of MedicalProspects or its licensors. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, MedicalProspects and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability for any claim shall not exceed the amount you paid us for the specific service giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless MedicalProspects, its officers, employees, and agents from any claims, damages, or expenses arising out of your use of our data, your violation of these Terms, or your violation of any applicable law.

12. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pinellas County, Florida.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Your continued use of our Services after changes constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page will reflect any revisions.
